Terms of Service

These terms are the contract between ZincirX Inc. (“we”, “us”) and the business that signs up for Karbonet (“you”). Karbonet is carbon-accounting software: you record activity data, it calculates emissions with published factors, produces reports and anchors a tamper-evidence hash of records and reports on a blockchain. By creating an account, starting a trial or paying for a subscription you accept these terms.

1. Who you are contracting with

Karbonet is operated and sold by ZincirX Inc., 131 Continental Dr, Suite 305, Newark, DE 19713, USA. You can reach us at info@zincirx.com. Full provider details are in the Imprint.

2. Business customers only

Karbonet is offered only to companies, organisations and self-employed professionals acting in the course of their trade, business or profession. It is not offered to consumers. By registering you confirm that:

  • you are using Karbonet for a business and not as a consumer;
  • you are authorised to accept these terms for that business;
  • you are at least 18 years old;
  • neither you nor the business is subject to sanctions that would prohibit us, a USA company, from providing services to you.

Because every customer is a business, consumer-protection rules such as a statutory right of withdrawal do not apply to this contract. If we find that an account is used by a consumer, we may close it and refund any prepaid fees for the unused period.

3. Accounts, workspaces and your team

Each customer gets one workspace for its company. The person who registers becomes its owner. Owners invite colleagues by e-mail, assign them the owner or member role, remove them, and are the only ones who can manage billing. Invitations expire after 7 days. Seats include invitations that are still pending.

Every person needs their own login, with their own verified e-mail address. Do not share logins. You are responsible for everything done through your users’ accounts and through the API tokens, supplier links and auditor links your workspace issues. Tell us straight away at info@zincirx.com if you suspect unauthorised use.

Supplier links and auditor links work without an account: anyone who holds the link can use it. A supplier link lets the holder submit an emissions figure to your workspace. An auditor link gives read-only access to your records until it expires or you revoke it. Send them only to the people they are meant for.

4. Free trial

Registration starts a 14-day free trial. We do not ask for a card, so nothing is charged when it ends. The trial includes the features and caps shown on the pricing page.

If you have not subscribed when the trial ends, the workspace becomes read-only: you can still sign in, view your data, export it and download reports you already generated, but you cannot add or change records until you subscribe. One trial per business.

5. Subscriptions, limits and add-ons

What each subscription tier includes — features, monthly or annual record and report allowances, seats, CBAM installations, API access and other limits — is set out on the pricing page and inside the app on the Billing page. That description is part of this contract. We may enforce the limits technically: when a limit is reached the action is blocked until you upgrade, buy an add-on or the usage window moves on.

Usage is counted when it happens. Deleting records, reports or installations afterwards does not give the allowance back.

Enterprise subscriptions are agreed in a separate order form. Where an order form and these terms conflict, the order form wins.

6. Billing, renewal, price changes and taxes

Payment

Prices are in euro and exclude VAT and any other tax. Subscriptions are paid in advance, monthly or annually, with the payment methods offered at checkout. Payments are processed by Stripe on Stripe’s own pages. We never receive or store your full card number or security code.

Automatic renewal

A subscription renews automatically for the same period — a month or a year — until it is cancelled. By subscribing you authorise us to charge your payment method through Stripe at each renewal.

Changing your subscription

  • Upgrades take effect immediately. You pay the price difference for the rest of the current period, calculated pro rata.
  • Downgrades, and a switch from annual to monthly billing, take effect at the end of the period you have already paid for.
  • Add-ons start immediately and are charged pro rata for the rest of the period. Removing an add-on takes effect immediately and does not create a refund or credit.

Failed payments

If a renewal payment fails, Stripe may retry it, and the workspace owner can update the payment method in the billing portal at any time. You keep full access for 7 days after the failed payment. If the invoice is still unpaid after that, the workspace becomes read-only until it is paid.

Price changes

We may change prices. We will e-mail the workspace owner at least 30 days before a new price applies to you. A new price applies from your next renewal, never in the middle of a period you have paid for. If you do not accept it, cancel before that renewal.

Taxes and tax IDs

Checkout asks for your billing address and your VAT or tax ID. You must give accurate details and keep them up to date in the billing portal. If no VAT is shown on an invoice, none has been charged, and where the law of your country applies the reverse-charge mechanism to services bought from a foreign supplier — for example business customers in the EU, or “sorumlu sıfatıyla KDV” in Türkiye — you account for that tax yourself. If we are required to collect a tax, it is added to the invoice.

If the law requires you to withhold tax from a payment to us, you will pay the additional amount needed so that we receive the full invoiced amount, unless we have agreed otherwise in writing.

Invoices

Invoices and receipts are issued electronically through Stripe. Owners can download them at any time from the billing portal.

7. Cancellation, suspension and termination

A workspace owner can cancel at any time in the app under Billing, which opens the Stripe billing portal. Cancellation takes effect at the end of the period already paid for. You keep full access until then and are not charged again. Afterwards the workspace becomes read-only. Refunds are covered by the Refund and Cancellation Policy.

We may suspend or end your access if you breach the acceptable-use rules, if an invoice stays unpaid beyond the grace period, or if we are legally required to. For other material breaches we will give you 14 days’ written notice to put things right first. Where the breach is serious enough to put other customers, the service or third parties at risk, we may act immediately.

We may stop offering Karbonet altogether with at least 90 days’ notice. If we end your paid subscription for any reason other than your breach, we refund the prepaid fees for the unused period.

8. Acceptable use

You must not:

  • enter data you know to be false, or use Karbonet output to mislead a regulator, verifier, customer, lender or the public;
  • upload data you have no right to use, or special categories of personal data (health, biometrics, beliefs and the like) — the service is not designed for them;
  • try to reach another customer’s workspace, or probe, scan or penetration-test the service without our written consent;
  • work around limits — for example several trials for one business, shared logins, or rotating installations through one slot;
  • exceed the API rate limits, scrape the service, or point webhooks at systems you do not control;
  • use invitations or supplier links to send unsolicited messages;
  • upload malware or anything unlawful;
  • resell or white-label Karbonet without a written agreement with us. Advisers may of course work in a client’s workspace as invited team members.

9. Your data: ownership, export and deletion

The data you and your suppliers put into your workspace is yours. You give us only the permission we need to host it, process it and display it back to you and to the people you share it with, in order to run the service. We do not sell customer data and we do not use it for advertising.

You can take your data out at any time: emission records as CSV, the verifier pack as CSV, every generated report as a PDF, and through the API on tiers that include it. Export and report downloads stay available when a workspace is read-only.

You are responsible for keeping your own copies of anything you cannot afford to lose. The export functions exist for this purpose.

Each user can delete their own account from Profile settings. If you are the only owner of a workspace with a running subscription, cancel the subscription or make another member an owner before you delete your account — a subscription does not end just because an account is deleted. To delete a whole workspace and its contents, an owner writes to info@zincirx.com. We delete it within 30 days of verifying the request, except for invoices and other records the law requires us to keep, and except for blockchain anchors, which cannot be deleted (see the next section).

Where your workspace contains personal data, we process it for you as your processor under the Data Processing Agreement, which is part of these terms.

10. Blockchain anchoring is permanent

For each emission or offset record, and for each report you generate, Karbonet calculates a SHA-256 hash and queues it for writing to a smart contract on a blockchain network that we do not operate. The chain stores the 32-byte hash, the time of the block and the address of our signing wallet. Nothing else goes on-chain: no names, e-mail addresses, company names, amounts or documents. The underlying data stays in our database.

Anchors are append-only. Once a hash is on-chain, nobody — not you and not us — can change or delete it. It stays on-chain after you delete the record, close your workspace or end your subscription. By using Karbonet you accept this.

An anchor proves that a record with exactly that content existed at that time. It does not prove that the content is correct.

Anchoring is queued, not instant, and depends on networks that we do not operate. It can be delayed or fail, and a network can change its rules or be discontinued. Records received while a workspace is read-only or over its limits are stored but not anchored until the workspace is active again. We choose the network; its name and a link to the transaction are shown with every proof. A proof that names a test network is not permanent evidence, because test networks can be reset by their operators.

Anyone who holds a hash can check its anchor status on the public verification page. That page shows anchor details only — never your company, your records or your amounts.

11. A tool, not a verifier or adviser

Karbonet calculates from the data you enter, using the method and published emission factors described on the methodology page. We do not check your data. The results are only as good as your inputs.

We are not an accredited verifier, an auditor, a customs representative, or a tax or legal adviser. CBAM reports, VSME-aligned reports, GHG summaries and every other output are working documents that support your own reporting. We do not guarantee that a regulator, verifier, customs authority, customer or bank will accept them.

Responsibility for a CBAM declaration stays with the authorised CBAM declarant — the EU importer or its indirect customs representative. Producers outside the EU stay responsible for the emissions data they pass to their importers. Karbonet does not file anything with any authority on your behalf.

Rules, default values and benchmarks change. We make reasonable efforts to keep the software up to date but do not warrant that it reflects the latest rules at every moment. Cost simulations and net-zero projections are simplified estimates, not financial advice.

12. Partner directory

The partner directory lists independent third parties such as verifiers, consultants and offset providers. A listing is not an endorsement, a recommendation or a certification. We do not check partners’ accreditations — verify them yourself before you rely on them.

When you send a quote request we pass the details you enter to the partner you selected. Any contract that follows is between you and that partner. We are not a party to it, we handle no payments between you and partners, and we are not liable for what partners do or fail to do.

13. Availability and support

We work to keep Karbonet available and secure, but self-service subscriptions come without a service-level agreement: we promise no particular uptime and no particular support response time. The service may be unavailable during maintenance or because of events outside our control.

We develop the product continuously, so features may be added, changed or removed. We will not materially reduce what your tier includes during a period you have paid for without telling you in advance.

Support is by e-mail at info@zincirx.com. Service levels can be agreed in an Enterprise order form.

14. Our software, your feedback

We and our licensors own Karbonet, including its software, design and documentation. While your trial or subscription runs, you may use it for your own business. You may not copy it, reverse-engineer it (except where the law allows this regardless of contract) or build a competing product from it. Published emission factors belong to the bodies that publish them.

If you send us suggestions, we may use them freely without owing you anything.

15. Confidentiality

Each of us will keep the other’s non-public information confidential, use it only for this contract, and protect it with reasonable care. This does not cover information that is public, already known, independently developed, or that must be disclosed by law. Your workspace data is always your confidential information.

16. Warranty and liability

We provide Karbonet with reasonable skill and care. Beyond that, and as far as the law allows, the service is provided “as is”, without warranties of fitness for a particular purpose or of regulatory acceptance.

As far as the law allows:

  • neither of us is liable to the other for indirect or consequential loss, lost profit, lost business or lost goodwill;
  • we are not liable for fines, penalties, CBAM certificate costs, rejected or corrected declarations, or failed verifications that result from your data, your filings or your decisions;
  • our total liability for all claims arising in any 12-month period is limited to the fees you paid us for Karbonet in that period. During a free trial it is limited to EUR 100.

Nothing in these terms limits liability for fraud, wilful misconduct, death or personal injury, or any other liability that cannot be limited under the applicable law.

You will compensate us for third-party claims and costs that arise from data you put into Karbonet or from your breach of the acceptable-use rules.

17. Governing law and venue

These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. The UN Convention on Contracts for the International Sale of Goods does not apply.

Disputes will be decided exclusively by the state and federal courts located in the State of Delaware, USA. Either of us may still ask any competent court for urgent interim relief. Mandatory law that cannot be set aside by contract stays unaffected.

18. Changes to these terms

We may update these terms. For changes that materially affect your rights we will notify workspace owners by e-mail or in the app at least 30 days before they take effect. If you do not agree, cancel before that date; the previous terms keep applying until the end of the period you have paid for. Using Karbonet after the effective date means you accept the new terms. The date at the top shows when this page last changed.

19. General

  • These terms, the pricing page, the Refund and Cancellation Policy, the Data Processing Agreement and any order form are the whole agreement between us about Karbonet.
  • You may not transfer this contract without our consent. We may transfer it to a company that takes over the Karbonet business.
  • If a provision turns out to be invalid, the rest stays in force. Not enforcing a right does not waive it.
  • Neither of us is liable for delay or failure caused by events beyond reasonable control, including failures of hosting, payment, e-mail or blockchain networks.
  • We send notices to the workspace owner’s e-mail address. Send notices to us at info@zincirx.com.
  • The English version of these terms is the binding one. Translations are for convenience.
