Karbonet CBAM Service Terms

For customers established in Türkiye: ZİNCİRX BİLİŞİM TEKNOLOJİ VE DANIŞMANLIK A.Ş., Gülbahçe Mah. Gülbahçe Cad. For all other customers: ZincirX Inc., c/o Legalinc Corporate Services Inc., 131 Continental Dr, Suite 305, Newark, DE 19713, United States. "We" means the company that issues your invoice.

The service is sold only to companies and traders acting for their business. Consumer rights of withdrawal do not apply.

• CBAM Report Pack, €1,490 per installation: for one installation and up to 3 goods (CN codes), for the 2026 reporting period: a monitoring plan in English; the embedded emissions of each good (direct emissions, plus indirect emissions where the CBAM rules count them, and precursors); the operator's emissions report in English, following the structure the European Commission sets for it; a sheet for each EU customer you name that compares default values with your actual values; one kickoff call and one review call; and 12 months of Karbonet on the Exporter plan (§14).
• Verification support, €990 per installation (add-on to a Report Pack): a check of the data and documents before verification; help choosing a verifier accredited for CBAM; preparation for the verifier's site visit; and answers to the verifier's questions and findings on the data we prepared, until the verifier issues its report.
• Annual update, €990 per installation a year: the same deliverables as the Report Pack for a later reporting period, ordered separately each year.
• Not included: verification itself and the verifier's fees, which you agree and pay directly with the verifier; measurements, laboratory analyses or meter calibration at your plant; registration in the EU CBAM Registry; certification of a carbon price paid; translation of your own documents; legal, tax or customs advice.

Prices exclude VAT/KDV.

• Türkiye: invoiced by ZincirX A.Ş. in Turkish lira at the Central Bank of the Republic of Türkiye (TCMB) euro selling rate on the day we issue the invoice, plus KDV. Please pay within 7 days, otherwise we re-issue the invoice at the new rate.
• Elsewhere: invoiced by ZincirX Inc. in euro. Where you must account for VAT or a similar tax yourself (for example under a reverse-charge rule), you do so.

The full price is due when you order. Work starts when we receive it.

• Türkiye: by bank transfer to the ZincirX A.Ş. IBAN shown on the invoice.
• Elsewhere: through the Stripe invoice we send you (card or bank transfer).

For each installation and reporting period, in the templates we send you: the goods produced and their quantities; fuel and material consumption with the evidence behind it (invoices, meter readings, weighbridge records); electricity consumption and its source; the origin and quantities of precursors, and any data your suppliers give you about them; evidence of any carbon price paid; and a contact at the plant who answers our questions. You are responsible for the accuracy and completeness of this data, and for your right to share it with us, your EU customers and the verifier.

The Report Pack and the Annual update are delivered within 15 business days of the day we confirm in writing that your input is complete. The time pauses while we wait for missing data or for your answers. The timing of verification depends on the verifier.

A delivery is accepted 5 business days after we hand it over, unless within that time you tell us in writing about a specific error. We correct such errors promptly and hand over again. Corrections asked for by the verifier on the data we prepared are part of the Verification support package.

• You may cancel before the kickoff call and get a full refund.
• After the kickoff call the fee is not refundable.
• If we miss the delivery time in §7 by more than 10 business days for reasons within our control, you may cancel and get a full refund.

Each good beyond the 3 in a package: €150. Any other extra work (another installation's data, data clean-up, additional calls, changes caused by new data after acceptance): €90 per hour. We always quote extra work in writing before we start, and do it only with your approval.

We prepare data and documents for CBAM. Only a verifier accredited for CBAM can verify emissions, and only the authorised CBAM declarant decides which values it declares. We do not verify, certify or approve emissions, and we do not guarantee that a verifier will accept the data, that a declarant will use actual values, or any saving in CBAM certificates. The service is not legal, tax or customs advice. If the CBAM rules change after you order, we tell you what changes and quote any extra work under §10.

Our total liability under these terms is limited to the fee you paid for the package. We are not liable for indirect or consequential loss, lost profit, lost business, the cost of CBAM certificates, penalties or fines. These limits do not apply where the law does not allow liability to be limited, such as for intent or gross negligence.

We treat your plant and production data as confidential. We use it only to perform the service and share it only with the EU customers and the verifier you name, and with anyone the law requires. Your data in Karbonet is handled under the Karbonet Terms of Service and Privacy Policy (karbonet.com).

The Report Pack includes 12 months of Karbonet on the Exporter plan for each installation in your order, free of charge, from the day we start your account. The Karbonet Terms of Service apply to its use. After 12 months the account continues only on a paid plan you choose; otherwise it becomes read-only as the Karbonet Terms describe.

We may have the service performed by another company of the ZincirX group. We prepare calculations and documents with software tools, including AI tools whose providers may process data outside Türkiye. A person at ZincirX A.Ş. reviews and signs off every deliverable before we hand it over.

Where the Karbonet Terms of Service conflict with these terms about the CBAM service, these terms prevail. The terms in force on the day you order apply to that order.

• Orders from ZincirX A.Ş.: Turkish law; the courts and enforcement offices of İzmir have jurisdiction.
• Orders from ZincirX Inc.: the law of the State of Delaware; the courts located in Delaware have jurisdiction.

The Turkish text of these terms governs orders from ZincirX A.Ş., and the English text governs orders from ZincirX Inc. Other language versions are translations for convenience.
